The Williamson County Amateur Radio Club
Charter
I. The official name of this club shall be the
Williamson County Amateur Radio Club, herein after referred to as the
WCARC.
II. The WCARC will be a non-profit organization.
III. The duration for which the WCARC is organized is
perpetual.
IV. The purposes for which the WCARC is organized are:
- To secure the benefits of the association of persons
whose common interest is amateur radio.
- To further the public service, educational and
scientific aspects of
amateur radio, especially as it relates to the local community.
V. Membership
- Membership in the WCARC shall be open to any person
interested in amateur radio.
- Membership shall be upon application and in
accordance with the terms as the bylaws of the WCARC may provide.
- General voting membership shall be open to anyone
holding a current valid amateur radio operator's license.
- Membership dues shall be assessed as provided by the
bylaws of the WCARC.
VI. Officers
- The
officers of the WCARC are a) president, b) vice-president, c)
secretary, d) treasurer each of whom shall have such duties as the
bylaws of the WCARC shall provide.
- The WCARC
officers shall be elected for a term of one year at the annual business
meeting as shall be provided in the bylaws of the WCARC.
- The officers of the WCARC and the immediate past
president shall comprise the Executive Committee
Any officer may be removed from office by a vote of two-thirds of the
general voting membership as shall be provided in the bylaws of the
WCARC.
VII. The WCARC president shall appoint an Activities
Committee chairman.
VIII. The WCARC will not knowingly sell transmitting
apparatus to individuals without a valid current amateur radio license.
IX. These articles may be amended by a two-thirds vote
of the general voting membership.

Bylaws
1.0 Membership
The WCARC shall have four classes of membership:
1.01 General Membership
General membership shall be open to all licensed amateur radio
operators upon payment of assessed membership dues. A general member
has all rights and privileges of membership in the WCARC. A general
membership is converted to a limited membership upon expiration of the
general member's amateur radio license.
1.02 Family Membership
Family membership shall consist of two or more members of the same
household. Each person in a family membership holds the same rights and
privileges of membership for which each would quality individually.
1.03 Limited Membership
Limited membership shall be open to all persons interested in amateur
radio and do not possess a valid amateur radio operator's license upon
payment of assessed membership dues. Members holding a limited
membership are not granted the privileges to vote or hold an elected
office. All other rights and privileges of membership in the WCARC are
granted. A limited membership shall be converted to a general
membership upon the limited member's obtaining a valid amateur radio
operator's license.
1.04 Honorary Membership
Honorary membership shall be bestowed upon persons who have contributed
substantially to the WCARC. An honorary member will be elected per
Voting section 6.02. This membership shall be for life. The honorary
member shall have the same rights and privileges of membership for
which each would qualify individually. Membership dues shall be waived
for honorary members.
1.05 Cancellation of Membership
Membership in the WCARC is automatically canceled upon the suspension
or revocation of a member's license and shall remain canceled for the
duration of such suspension or revocation. Reinstatement of membership
in the WCARC under these circumstances can be achieved by an election
per Voting section 6.03.
1.06 Removal of Membership
Removal of a member of the WCARC shall be by a vote of the voting
membership per Voting section 6.03. Voting for removal of membership
shall be upon a written petition to remove, signed by a minimum of
twenty percent (20%) of the voting membership. The petition shall be
presented to the President at least thirty (30) days prior to the
meeting at which such removal is brought before the membership of the
WCARC. The final vote for removal may occur upon ten (10) days notice
to the voting membership of the WCARC by regular US Mail.
2.0 Dues
The annual dues shall be:
2.01 General and Limited Membership
General and limited membership dues shall be $10.00.
2.02 Family Membership
Family membership dues shall be $15.00.
2.03 Honorary Membership
Honorary membership dues shall be waived.
2.04 Prorating of Dues
Dues shall be payable on January 1st or upon application for
membership. First time payment of membership dues paid in the last two
months of a year will cover the following years assessment. There will
be no other prorating of membership dues.
3.0 Officers
3.01 President
The president shall be the chief executive officer of the WCARC. The
duties of the president are to: a) preside at all meetings; b) have
general active management of the business and affairs of the WCARC;
appoint the chairman of the Activities Committee, and d) see that all
resolutions and orders are carried into effect. The President shall be
an ex-officio member of all committees.
3.02 Vice-President
The Vice-President shall be responsible for the program following each
month's business meeting. In the absence or disability of the President
the Vice-President shall perform all duties and have the authority and
power of the President.
3.03 Secretary
The Secretary shall record the minutes of all proceedings in a book
kept for that purpose and shall be the custodian of all official books
and records of the WCARC, except for those of the treasury. The
Secretary shall be responsible for all general notices required by
these bylaws.
3.04 Treasurer
The Treasurer shall keep all the financial records of the WCARC and
shall be the custodian thereof. The Treasurer shall be the custodian of
all moneys and securities of the WCARC and shall make deposits thereto
and disbursements there from. The Treasurer shall be responsible for
the membership roster and membership status and for all WCARC financial
reports.
3.05 All officers shall assume office at the annual
business meeting immediately after the election is certified.
3.06
A vacancy occurring in any office except the President shall be filled
by appointment of the Executive Committee as soon as practicable. The
Vice-President shall become President should a vacancy occur in the
President of the WCARC. All appointments by the Executive Committee due
to a vacancy are for the un-expired term of the office.
3.07 Assistants
Any elected WCARC officer may appoint assistants from the voting
membership as necessary and delegate authority to them upon consent of
a majority of the Executive Committee.
3.08 Removal from Office
Removal from office of a WCARC officer shall be by a vote of the voting
membership per Voting section 6.03. Voting for removal from office
shall be upon a written petition to remove, signed by a minimum of
twenty percent (20%) of the voting membership. The petition shall be

4.0 Committees
4.01 Executive Committee
The Executive Committee shall be comprised of the elected officers of
the WCARC and the immediate past president. The President of the WCARC
is the chairman of the Executive Committee. The Executive Committee
shall not acquire nor dispose of any property or interests therein, nor
enter Into any agreements related to WCARC affairs without the consent
of the voting membership per Voting section 6.02.
4.02 Activities Committee
The Activities committee shall be comprised of WCARC members appointed
by the Activities Committee Chairman.
4.03 Other Committees
Other committees may be formed as needed to support WCARC activities
and services.
5.0 Meetings
5.01
The regular meeting place of the WCARC shall be at the discretion of
the President. The WCARC shall meet at 7:30 p.m. on the first Thursday
of each month.
5.02 The WCARC shall hold an annual
business meeting to elect officers in December at such time and place
as the Executive Committee shall select. Notice of this meeting shall
be posted to all voting members by regular US Mail at least twenty (20)
days prior to such meeting, unless the meeting is to be at the
regularly scheduled place and time.
5.03 The
Executive Committee of the WCARC may meet monthly or as needed to
address the needs of the WCARC. The meeting may be scheduled by the
Chairman or any three members of the Executive Committee upon three
days notice to the other members. The notice provision of the bylaws
may be waived by the unanimous vote of all the Executive committee
members.
5.04 The WCARC may hold such called
meetings as the Executive Committee shall designate, or call by a
quorum of the voting membership upon ten (10) days notice to the
membership by regular US Mail.
5.05 The notice
provision to the general membership of all preceding bylaws herein may
be waived by giving notice at the preceding regular monthly meeting
provided that at least a quorum of the General Membership is present at
such meeting.
5.06 The use of the official
publication of the WCARC, posted in the US Mail may suffice as notice
as required by any of the preceding bylaws.
5.07 Robert's Rules of Order shall be the standard of
conduct for all meetings.
6.0 Voting
6.01
Voting shall be by a show of hands in open meetings, except for
election of officers which shall be by written ballot. Voting for
election of officers may also be by a show of hands for officer
positions which are unopposed.
6.02 Fifty Percent Vote
The fifty percent vote may be either a vote of fifty percent (50 %) of
the voting members of the WCARC or fifty percent (50%) of the voting
members of the WCARC present at two regularly scheduled meetings of the
WCARC when a quorum is present.
The second vote may occur upon ten (10) days notice to the voting
membership of the WCARC by regular US Mail.
6.03 Two-Thirds Vote
The two-thirds vote may be either a vote of two-thirds of the voting
members of the WCARC or two-thirds of the voting members of the WCARC
present at two regularly scheduled meetings of the WCARC when a quorum
is present.
The second vote may occur upon ten (10) days notice to the voting
membership of the WCARC by regular US Mail.
6.04
The WCARC may hold such called meetings as the Executive Committee
shall designate, or called by a quorum of the voting membership upon
ten (10) days notice to the membership by regular US Mail.
6.05 Any action of the Executive committee may be
rescinded by a vote per Voting section 6.02.
6.06
The notice provision to the general membership of all preceding bylaws
herein may be waived by giving notice at the preceding regular monthly
meeting provided that at least a quorum of the General Membership is
present at such meeting.
6.07 Twenty percent (20%)
or five (5) members, whichever is greater, of the voting membership
shall constitute a quorum to do business at any meeting.
6.08
Any action taken without compliance with the bylaws is void, but each
action may be made acceptable by subsequent compliance with the bylaws.
7.0 Bylaw Amendments
7.01
These bylaws may be amended at a regularly scheduled meeting by a vote
of the voting membership per Voting section 6.03, upon giving written
notice of such amendments at the regular meeting immediately prior
thereto.
7.02 Any amendment contrary to the law or the Charter of
the WCARC is void.
